By accessing or using Proofwork at myproofwork.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Proofwork ("Company," "we," "us," or "our"). Your continued use of the Service following any modification to these Terms constitutes acceptance of those modifications.
Proofwork is a productivity and income tracking platform that enables users to log time allocation, record income events, analyze correlations between activities and income outcomes, and access AI-generated reports. The Service is provided on a subscription basis with tiered access levels as described in Section 5.
The Service is intended for informational and personal productivity purposes only. Nothing in the Service constitutes financial, legal, tax, investment, or professional advice of any kind. Any AI-generated analysis is provided solely as a general summary of your own logged data and does not constitute a professional recommendation.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and are not prohibited from using the Service under any applicable law. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials. You may not share your account with any third party or use another user's account without authorization.

Subscription fees are billed in advance on a monthly basis. All fees are non-refundable except as expressly stated in our Billing and Refund Policy. We reserve the right to modify pricing upon 30 days' written notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
You may cancel your subscription at any time through the Settings tab in your account. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the paid period. We do not provide prorated refunds for partial billing periods. Upon cancellation, your account will revert to the Free tier.
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property rights of any third party; (c) transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; (d) attempt to gain unauthorized access to any portion of the Service or its related systems; (e) use automated means to scrape, crawl, or extract data from the Service without our prior written consent; (f) reverse engineer, decompile, or disassemble any portion of the Service; or (g) use the Service in any manner that could damage, disable, or impair the Service.
You retain ownership of all data and content you input into the Service ("User Data"). By submitting User Data, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your User Data solely for the purpose of providing the Service to you. We do not sell your User Data to third parties. We may use anonymized, aggregated data derived from User Data for benchmarking, product improvement, and statistical analysis, provided that such data cannot reasonably be used to identify you individually.
The AI analysis feature generates summaries based solely on your logged data. These summaries are provided for informational purposes only and do not constitute financial, business, investment, legal, or professional advice. The Company makes no representation or warranty regarding the accuracy, completeness, or fitness for any particular purpose of AI-generated output. You acknowledge that AI systems can produce errors, omissions, or misleading outputs, and you agree to use AI-generated analysis at your own risk. You should not make significant financial or business decisions based solely on AI-generated output from the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE. YOUR USE OF THE SERVICE IS SOLELY AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROOFWORK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
You agree to indemnify, defend, and hold harmless Proofwork and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. You and Proofwork each waive the right to a jury trial and the right to participate in a class action lawsuit or class-wide arbitration. The arbitration shall take place in the state where you reside, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
These Terms shall be governed by and construed in accordance with the laws of the United States and the state of Texas, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Texas.
The Service, including all software, design, text, graphics, logos, and other content created by us, is owned by Proofwork and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 8, 9, 10, 11, 12, 13, and 14.
We reserve the right to modify, suspend, or discontinue the Service (or any portion thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
These Terms, together with the Privacy Policy and Billing and Refund Policy, constitute the entire agreement between you and Proofwork with respect to the Service and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
